These Terms of Use (“Terms”) govern your access to and use of www.thebwscompany.com (the “Site”), operated by BWS Company LLC, doing business as The BWS Company (“BWS,” “we,” “us” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
The Site is provided for general informational purposes. Nothing on the Site is an offer to sell or a solicitation of an offer to buy any real property, security, or other interest, and nothing on the Site creates any binding obligation on BWS. No offer, agreement or commitment of any kind arises unless and until it is set out in a definitive written agreement signed by an authorized representative of BWS.
BWS is a principal real estate investment firm that acquires land for its own account and with its partners. BWS is not a real estate brokerage and does not act as your broker, agent or fiduciary. We do not list, market or sell property on behalf of others, and we do not represent you in any transaction. Nothing on the Site constitutes legal, tax, accounting, appraisal, investment or other professional advice, and no attorney-client or advisory relationship is created by your use of the Site. You should obtain independent professional advice before making any decision regarding your property.
Information on the Site, including market descriptions, transaction histories, homesite and acreage counts, and any figures describing our activity, is provided as of the date posted, is approximate, and is subject to change without notice. Site plans, renderings, maps and illustrations are conceptual and are subject in all respects to the Site Plan Disclaimer in the footer of every page. We make no representation that the Site is complete, current or error-free, and you should not rely on it for any purpose without independent verification.
The Site and its contents — including text, graphics, layout, site plans, photographs, logos and the selection and arrangement of them — are owned by BWS or its licensors and are protected by copyright, trademark and other laws. You may view and print pages for your own non-commercial reference. You may not reproduce, republish, distribute, modify, frame, scrape, or create derivative works from the Site or any part of it without our prior written consent.
Homebuilder and other third-party names and marks appearing on the Site are the property of their respective owners and are used solely for identification and descriptive purposes. Their appearance does not imply any endorsement, sponsorship, certification, affiliation, joint venture or partnership between those parties and BWS beyond the land transactions described. BWS claims no rights in those marks.
Information you send us through the Site — including contact form submissions, property details and correspondence — is not confidential and not proprietary unless we agree otherwise in a signed writing. By submitting it, you grant us a non-exclusive, royalty-free right to use it to evaluate and pursue a potential transaction and to operate our business, and you represent that you have the right to provide it. Do not send confidential, privileged or sensitive personal information through the Site. Handling of personal information is described in our Privacy Policy.
You agree not to use the Site to violate any law; to submit false, misleading or fraudulent information; to impersonate any person; to harvest or scrape data, including by automated means; to send unsolicited commercial messages; to introduce malicious code; to attempt to gain unauthorized access to the Site or its systems; or to interfere with the operation of the Site or with any other user's use of it.
The Site contains links to, and content delivered by, third parties. We do not control and are not responsible for third-party sites, services or content, and a link is not an endorsement. Your use of any third-party site or service is governed by that party's terms and privacy policy.
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, BWS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE.
TO THE FULLEST EXTENT PERMITTED BY LAW, BWS AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN OF THESE LIMITATIONS, SO SOME MAY NOT APPLY TO YOU.
You agree to indemnify, defend and hold harmless BWS and its members, managers, officers, employees, agents and affiliates from and against any claims, liabilities, damages, losses and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Site, your submissions, or your breach of these Terms or of any law or third-party right.
These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You and BWS agree that the exclusive venue for any such dispute is the state or federal courts located in Pinellas County, Florida, and each party consents to personal jurisdiction there. Nothing in this section applies to any separate written agreement between you and BWS, which governs its own subject matter.
We may modify, suspend or discontinue any part of the Site at any time without notice. We may also revise these Terms; when we do, we will update the “Last updated” date above and post the revised Terms here. Your continued use of the Site after a change takes effect means you accept the revised Terms.
If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will stay in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with the Privacy Policy, are the entire agreement between you and BWS regarding the Site. You may not assign these Terms; we may assign them in connection with a merger, financing, acquisition or sale of assets.
